PREAMBLE
These Terms and Conditions of Sale (“Conditions of Sale”) apply to the purchase of products offered under the “Plein Soleil” brand on www.pleinsoleilusa.com (the “Website”) by users who qualify as customers under applicable law (“Customer” or “User”).

Plein Soleil’s online shop is open to all. Purchases are available to Users who have read and understood our Privacy Policy. Account creation is optional but encouraged for a streamlined experience.

Our store is hosted by Shopify Inc., which provides us with the ecommerce platform used to sell our products and services.

Products purchased on the Website are sold directly by Plein Soleil, whose registered office is located at 1603 Capitol Ave Ste 415, Cheyenne, WY 82001 (“Seller” or “Plein Soleil”). Orders placed on the Website constitute an agreement between the Customer and the Seller.

Before placing an Order, Customers should review these Conditions of Sale as well as the Website’s Privacy Policy, Shipping, and Return Policy. The Conditions of Sale in force at the time of order placement shall govern the purchase.

1. SUBJECT

These Conditions of Sale govern all purchase agreements concluded online between Plein Soleil and the Customer through www.pleinsoleilusa.com.

2. ORDER AND REGISTRATION

Customers may purchase products by selecting their desired options—such as color, size, or style—and proceeding with checkout using either the “Add to Cart” or “Buy Now” buttons.

Account registration is optional but recommended, as it allows for faster checkout, saved addresses, and access to past order history.

Customers are strictly prohibited from using false, fictitious, or third-party information during registration or checkout. Plein Soleil reserves the right to cancel orders and terminate accounts in case of fraud or suspicious activity.

The Customer is solely responsible for the accuracy of personal data and payment details. Plein Soleil is not liable for issues resulting from inaccurate information submitted by the Customer.

Orders are subject to product availability and acceptance by the Seller. Plein Soleil may reject orders that are incomplete, inaccurate, or where solvency is not guaranteed. In case of unavailability, Customers will be informed and may choose to cancel the order for a full refund.

All prices are in U.S. Dollars ($) and include applicable sales tax where required by law.

3. PAYMENT METHODS

Payment data is securely processed through encrypted protocols via third-party payment gateways. If payment fails or is incomplete, the order will not be processed.

4. OBLIGATIONS AND RESPONSIBILITIES

Plein Soleil strives to ensure accurate and up-to-date content on the Website. Users may report errors to contact@pleinsoleilusa.com, and corrections will be made as appropriate.

Plein Soleil is not liable for failure to fulfill contractual obligations due to events beyond its control (e.g., natural disasters, supply disruptions, internet outages, or other force majeure events).

5. PRODUCTS AND WARRANTY

All products featured on the Website are sold by Plein Soleil. While we aim to keep product listings accurate, availability may vary.

Product images and colors are provided for illustrative purposes and may vary due to display settings or devices. Plein Soleil is not liable for color discrepancies between images and the actual product.

In case of product defect or lack of conformity, Customers are entitled—at no additional cost—to a repair or replacement, if available and not disproportionately burdensome. If neither is feasible, Customers may request a refund or price reduction.

Any lack of conformity must be reported within one (1) month from the date of delivery. Claims submitted after this period may not be honored.

6. FINAL PROVISIONS, GOVERNING LAW, AND JURISDICTION

These Terms of Service are governed by the laws of the State of Wyoming and the federal laws of the United States. Any dispute arising from these Terms, the use of the Website, or product purchases shall fall under the exclusive jurisdiction of the state and federal courts located in Cheyenne, Wyoming.
